Terms of Use

These Terms of Use (“Terms”) govern your access to and use of VeriTAS (the “Service”), including any website, web app, features, content, and services made available by Inforeaper internet (OPC) Pvt. Limited (“Company,” “we,” “us,” “our”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2) Definitions

“Account”: Your user account on the Service.
“User Content”: Prompts, messages, documents, files, images, and any other content you submit to the Service.
“AI Output”: Any output produced by AI models through the Service.
“Third-Party Services”: Services we integrate or rely on (e.g., hosting, databases, analytics, AI model APIs, payment processors).

3) Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction).
If you use the Service for an organization, you represent you have authority to bind it.

4) Account registration and security

You are responsible for:

maintaining the confidentiality of your login credentials;
all activity under your Account; and
promptly notifying us of suspected unauthorized use.

We may suspend or terminate Accounts to protect users, the Service, or comply with legal obligations.

5) The Service; AI features; verification required

5.1 Informational nature and limitations

The Service may provide AI-assisted analysis, drafting, summarization, search, extraction, classification, or other workflows. AI Output can be incorrect, incomplete, misleading, or outdated.

You are responsible for verifying AI Output before relying on it, especially in legal, financial, compliance, due diligence, employment, or safety contexts.

5.2 No professional advice

The Service and AI Output do not constitute legal, financial, medical, or other regulated professional advice.

5.3 Your responsibility for decisions

You agree that any decisions you make using the Service (including due diligence recommendations, risk ratings, or compliance conclusions) are your sole responsibility.

6) Acceptable use

You agree not to:

violate any law or regulation;
infringe intellectual property, privacy, or confidentiality rights;
submit unlawful, defamatory, harassing, hateful, or abusive content;
attempt to gain unauthorized access to systems or data;
distribute malware, phishing, exploits, or instructions designed to enable wrongdoing;
reverse engineer or scrape the Service except as permitted by law; or
use the Service to develop a competing product (except where prohibited by law).

We may remove content or restrict access to protect the Service or comply with legal obligations.

7) Confidential information, client documents, and due diligence data

7.1 High confidentiality use cases

You indicated that users may upload customer/client confidential documents for due diligence and similar workflows.

We treat User Content as confidential in the ordinary course and use it only:

to provide the Service and generate AI Output;
to secure, maintain, debug, and improve reliability of the Service;
to comply with legal obligations; and
to investigate abuse, fraud, or security incidents.

7.2 Important limitation — third-party AI processing

If you use AI features, relevant portions of User Content may be transmitted to third-party AI model providers to generate AI Output. Those providers process data under their own terms/policies.

Do not upload confidential data unless you have authority to do so and accept third-party processing risk.

7.3 DPA (Data Processing Addendum) / enterprise terms

If your organization requires a Data Processing Addendum (DPA), security questionnaire responses, or confidentiality addendum, contact us at prerna@inforeaperinternet.com. Where commercially feasible, we can offer contractual terms appropriate for business use cases.

8) Your content and permissions

8.1 Ownership

As between you and the Company, you retain ownership of your User Content.

8.2 License to operate the Service

You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, transmit, and display User Content only as necessary to:

provide and maintain the Service;
secure and troubleshoot the Service; and
comply with legal obligations.

8.3 Your warranties

You represent that:

you have the rights/permissions needed to upload your User Content;
your User Content does not violate law or third-party rights; and
you will not upload sensitive personal data unless necessary and lawfully permitted.

9) Third-party services and integrations

The Service may rely on third parties such as:

Vercel (hosting/infrastructure),
Supabase (database/auth/storage),
AI model providers (e.g., OpenAI, Google Gemini, Anthropic, Mistral, Groq, Perplexity, OpenRouter, Azure OpenAI, and others),
analytics tools (e.g., Google Analytics),
payment processors (if enabled).

We are not responsible for third-party services outside our control.

10) Plans, billing, cancellation, refunds

10.1 Cancellation

You may cancel your subscription at any time. Cancellation typically takes effect at the end of the current billing cycle unless the Service states otherwise.

10.2 Refunds

Refunds are handled case-by-case, at our discretion, subject to applicable law.
Factors may include usage, incident history, chargebacks, technical faults, and reasonable circumstances.

10.3 Taxes

You are responsible for any applicable taxes, duties, or government charges unless stated otherwise.

11) Intellectual property

We own the Service, including software, design, branding, and non-user content, except User Content.

You may not copy, modify, distribute, sell, or lease any part of the Service unless permitted by us in writing.

12) Availability, changes, and suspension

We may modify, suspend, or discontinue any part of the Service. We may suspend access if needed for security, maintenance, legal compliance, or suspected abuse.

13) Disclaimers

THE SERVICE AND AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

We do not guarantee:

uninterrupted or error-free operation;
any particular accuracy, completeness, or usefulness of AI Output; or
any particular business outcome.

14) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
INR 5,000.

Some jurisdictions do not allow certain limitations; in that case, liability is limited to the maximum extent permitted.

15) Indemnity

You agree to indemnify and hold harmless the Company and its directors, officers, employees, and agents from claims arising out of:

your use of the Service,
your User Content, or
your violation of these Terms or applicable law.

16) Governing law and jurisdiction

These Terms are governed by the laws of India.

Jurisdiction: Courts located in Gurugram, Haryana, India shall have jurisdiction, subject to applicable law.

17) Changes to these Terms

We may update these Terms from time to time. Material changes may be notified via the Service or email. Continued use after the effective date means you accept the updated Terms.
